Effective Date: February 7, 2026
These Terms of Service (the “Agreement”) form a binding legal contract between you (“User,” “you,” or “your”) and Lotus Domaine Partners (“LDP,” “Company,” “we,” “our,” or “us”).
This Agreement governs your access to and use of the Lotus Domaine Partners website, investor portal, data room, communications, and any related digital platforms, documents, or services made available by Lotus (collectively, the “Platform”).
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must immediately discontinue use of the Platform.
1. Eligibility and Authority
The Platform is intended solely for individuals who:
- Are at least eighteen (18) years of age or the age of legal majority in their jurisdiction, whichever is greater;
- Have the legal capacity to enter into binding contracts; and
- Access the Platform for lawful purposes.
By accessing or using the Platform, you represent and warrant that you satisfy these requirements.
If you are accessing the Platform on behalf of an entity, you represent and warrant that you have full authority to bind such entity to this Agreement.
Where login credentials are issued, you are solely responsible for maintaining the confidentiality of your username, password, and any authentication credentials. You are fully responsible for all activity conducted under your credentials. LDP shall not be liable for any loss or damage arising from your failure to safeguard access credentials.
You agree to notify LDP immediately of any unauthorized use or security breach.
2. Modifications to This Agreement
LDP reserves the right, in its sole discretion, to amend, update, or replace this Agreement at any time.
Any modifications become effective immediately upon posting to the Platform, as reflected by the updated effective date. Your continued use of the Platform following such posting constitutes acceptance of the revised Agreement.
You are responsible for reviewing this Agreement periodically.
3. Limited License to Use the Platform
Subject to your compliance with this Agreement, LDP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful and informational purposes.
No ownership rights are conveyed to you under this Agreement. All rights not expressly granted are reserved by LDP.
4. Prohibited Conduct
You agree that you shall not:
- Violate any applicable laws, rules, or regulations;
- Infringe upon the intellectual property, privacy, contractual, or proprietary rights of any person or entity;
- Upload or transmit viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to any portion of the Platform or its underlying systems;
- Reverse engineer, decompile, disassemble, or attempt to extract source code;
- Scrape, harvest, mine, or extract data without prior written authorization;
- Misrepresent your identity, credentials, or affiliation.
LDP may suspend or terminate your access to the Platform immediately upon violation of this Section or any other provision of this Agreement.
5. User-Submitted Information
Any materials, inquiries, or information you submit through the Platform (“Submitted Content”) remain your property.
By submitting Submitted Content, you grant LDP a worldwide, non-exclusive, royalty-free license to use, reproduce, store, and process such Submitted Content solely for purposes of operating, maintaining, administering, or improving the Platform, or responding to your inquiries.
You represent and warrant that:
- You have all necessary rights to submit such content; and
- The content does not violate any applicable law or third-party rights.
You are solely responsible for the Submitted Content.
6. Intellectual Property Rights
All right, title, and interest in and to the Platform—including but not limited to all content, disclosures, reports, text, graphics, logos, trademarks, design elements, software, and other proprietary materials—are owned by LDP or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted in this Agreement, you may not copy, reproduce, modify, distribute, publish, transmit, display, create derivative works from, or commercially exploit any portion of the Platform without prior written consent from LDP.
Unauthorized use constitutes a material breach of this Agreement.
7. Third-Party Links and Content
The Platform may contain links to third-party websites or services not owned or controlled by LDP.
Lotus Domaine Partners does not endorse, monitor, or assume responsibility for third-party content, services, or privacy practices. Access to third-party websites is at your own risk and subject to their respective terms and policies.
8. No Offer; No Advice; No Fiduciary Relationship
The Platform is provided for informational purposes only.
Nothing contained on the Platform constitutes:
- An offer to sell or a solicitation of an offer to purchase any security;
- Investment, legal, tax, accounting, or other professional advice; or
- A recommendation regarding any strategy, fund, or transaction.
Any offering by LDP will be made solely pursuant to formal offering documents and applicable securities laws.
Lotus Domaine Partners is not acting as a fiduciary, financial advisor, broker, or agent by virtue of your access to the Platform. No advisory or fiduciary relationship is created by your use of the Platform. You acknowledge that you must consult your own professional advisors before making any financial or investment decisions.
9. Feedback
Any feedback, suggestions, ideas, or recommendations you provide to LDP regarding the Platform may be used by LDP without restriction, obligation, or compensation.
10. Platform Availability
LDP reserves the right to modify, suspend, restrict, or discontinue the Platform, in whole or in part, at any time and without notice.
LDP shall not be liable for any modification, suspension, or discontinuation of the Platform.
11. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LDP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LDP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LDP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.
LDP’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED UNITED STATES DOLLARS (USD $100); OR
(B) THE TOTAL AMOUNT PAID BY YOU TO LDP, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless LDP and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your access to or use of the Platform;
- Your breach of this Agreement;
- Your violation of applicable law; or
- Your infringement of any third-party rights.
14. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising out of or relating to this Agreement or the Platform shall be resolved exclusively in the state or federal courts located in New York, New York. You hereby consent to the personal jurisdiction and venue of such courts.
15. Termination
LDP may suspend or terminate your access to the Platform at any time, with or without cause or notice.
Upon termination, all rights granted to you under this Agreement shall immediately cease. Provisions that by their nature should survive termination—including but not limited to disclaimers, limitation of liability, indemnification, and governing law—shall survive.
16. Privacy
Your use of the Platform is subject to the LDP Privacy Policy, which is incorporated herein by reference.
17. Entire Agreement; Severability; Assignment
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and LDP concerning the Platform and supersedes all prior or contemporaneous communications and agreements.
If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign this Agreement without prior written consent from LDP. LDP may assign this Agreement without restriction.
